RESULTS OF RESOLUTIONS SUBMITTED TO ANNUAL MEETING

Auckland, April 14, 2003 – Genesis Research and Development Corporation Limited (NZSE/ASX: GEN) today announced the results of the voting conducted at the Annual Meeting held on 11 April.

A poll was held on five resolutions for election of directors. Mr David Irving, Chairman, was re-elected and Dr Douglas Wilson, Mr John Palmer and Mr Allan Freeth were elected. Mr Herman Rockefeller, a director of Genesis Research since its establishment in 1993, was not re-elected.

The Financial Statements and Annual Report and a new Constitution were also approved. The motion to increase directors’ fees was withdrawn by the Board.
